Terms of Service

These are the terms you agree to when you download, trial or buy IndieGent. They are written to be read: one purchase, two Macs, no subscription, and a clear answer to the question that matters most in a tool like this one — who is responsible for what an agent does.

The short version

  • One purchase, two Macs, no subscription. A one-time payment buys a licence that does not expire, usable on up to two Macs you own. Move it between machines whenever you like.

  • Seven days free, then a free tier that keeps working. The trial needs no card and no account. When it ends nothing is deleted — the app carries on with two projects and supervised sessions.

  • You bring the agent. IndieGent drives the coding-agent CLI and the GitHub account you already have. It does not include agent capacity, and it does not resell anyone’s.

  • You own the work, and you review it. We claim no rights over your code or anything an agent writes for you — and we do not warrant that code either. Merging it is your call.

The agreement

IndieGent is made and sold by LEGAL ENTITY, of ENTITY ADDRESS (“we”, “us”). These terms are the agreement between us and you when you download, trial or buy the app. Using it means you accept them. If you are agreeing on behalf of a company, you confirm you are allowed to.

Your licence

Buying IndieGent is a one-time purchase at the price shown at checkout. It grants you a personal, non-exclusive, non-transferable licence to install and use the app on up to two Macs you own or control, for as long as you want to. There is no subscription and the licence does not expire.

  • Your licence key identifies you to the activation service. Keep it to yourself — anyone holding it can take one of your two activations.
  • To move to a new Mac, deactivate the old one in Settings → License. The slot is freed immediately and you can activate the new machine straight away.
  • The licence is yours, not the machine’s. Replacing a Mac costs you nothing.

The trial and the free tier

The first time you launch IndieGent it gives you seven days of full access — no card, no account, no sign-up. When those days are up the app does not stop: it continues on a free tier with up to two projects, and sessions that run supervised, where the agent asks before it acts.

The parts that need a licence are the ones that take the leash off: unlimited projects, the Tank operator, headless sessions, and the auto-edit and full-auto trust levels. Nothing is deleted when a trial ends — your projects, sessions and history are files on your Mac and they stay exactly where they are.

One trial per machine. Please do not try to restart the clock; if you need longer to decide, just ask us.

What you may not do

  • Resell, rent, sublicense or redistribute IndieGent, or share your licence key.
  • Work around the licensing — patching the app, faking activations, or generating keys.
  • Reverse-engineer, decompile or disassemble the app, except to the extent the law where you live says you may do so regardless of this clause.
  • Remove or alter copyright, brand or licence notices.
  • Use the app to break the law, or to break someone else’s terms of service — including your agent vendor’s or GitHub’s.

Updates

Updates are delivered inside the app, and every one of them is cryptographically signed and verified before it is allowed to install. Your licence includes updates. MAJOR VERSION POLICY

We will keep developing IndieGent, but nothing here is a promise that a particular feature will exist, keep existing, or arrive by a particular date. Buy it for what it does today.

What you need to supply

IndieGent is an operator’s console for tools that live on your machine. It does not include a coding agent, and buying it does not buy you any agent capacity. To get work out of it you need, and pay for, your own:

  • A coding-agent CLI, and whatever account or subscription that vendor requires.
  • A GitHub account, signed in through the GitHub CLI.
  • git, and the usual command-line tools your projects need.

Your relationship with each of those is between you and them: their terms apply, their bills are yours, and their outages are theirs. If one of them changes how it works, IndieGent may not be able to do the thing that depended on it until we catch up.

What agents do, and what that means for you

This is the clause worth reading twice. IndieGent gives coding agents real access to real work: it clones your repositories into workspaces on your Mac, and lets an agent edit files, run commands, commit, push branches and open pull requests.

  • You choose the rein. A supervised session asks before it acts. Headless and full-auto sessions deliberately do not stop to ask — that is what they are for, and choosing them is choosing that.
  • Commands run as you. They carry your user account’s permissions on your machine: they can change or delete files, use credentials you have already authenticated, spend money against services you are signed into, and push to remotes.
  • Agent output is not reviewed or warranted by us. We do not see it and we cannot vouch for it. Read it before you merge it — treat it as a pull request from a contractor you have never met.
  • Keep backups, and keep your remotes as your safety net. Sessions are designed to be disposable; your repository is the thing that should not be.

Scheduled runs are built to propose rather than to act: what an overnight run comes back with is a suggestion waiting for you to confirm, not an issue it filed on your behalf. That is a design choice we intend to keep.

You are responsible for the work an agent does under your direction on your machines and in your repositories, and for reviewing it before it goes anywhere that matters.

Your code is yours

We claim no ownership of, and no licence over, your repositories, your prompts, your issues, or anything an agent produces for you. We do not receive any of it — see the Privacy Policy for exactly what does reach us, which is a licence key and an email address.

Payment and refunds

Payments are taken by Stripe on its own checkout page; we never see your card details. Your licence key is emailed to the address the payment carries, usually within a minute. If it does not arrive, check spam and then write to CONTACT EMAIL — we can resend it.

If it isn't right for you, email CONTACT EMAIL within 30 days of your purchase and we refund it in full — you don't have to explain why.

Where you have statutory cancellation or refund rights — for example as a consumer in the UK or the EU — those rights stand whatever this page says.

Availability, and what happens if we go quiet

The app runs on your Mac and does not need our servers to do its job. It re-checks your licence at most once a day, and if that check cannot get through — our service is down, or you are on a plane — it keeps your current status rather than locking you out.

We do not promise the licensing service is always available, and we may change or retire parts of it. What we will not do is use its absence to take away software you have already paid for.

No warranty

To the fullest extent the law allows, IndieGent is provided as is and as available, without warranties of any kind, express or implied — including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that it will be uninterrupted or error-free, that it will suit your particular setup, or that anything an agent writes through it will be correct, secure or fit to ship.

If you are a consumer, you may have legal rights that cannot be excluded. Nothing here takes those away.

Limitation of liability

To the fullest extent the law allows, we are not liable for lost profits, lost revenue, lost or corrupted data or code, lost time, or any indirect or consequential loss, arising from your use of IndieGent or from anything an agent did or failed to do through it. Our total liability to you for any claim is limited to the amount you actually paid for your licence.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Ending the licence

You can stop using IndieGent at any time; deactivate your machines in Settings and delete the app. We may revoke a licence that was obtained fraudulently, charged back after the fact, or shared or redistributed in breach of these terms — and if we do, we will email the address attached to that licence and say why.

The clauses that should outlive the agreement do: your code stays yours, and the warranty and liability sections continue to apply.

Changes to these terms

If these terms change, the effective date at the top of this page changes with them and the new version applies from that date. A change we make later cannot retroactively take away the licence you already bought.

Governing law

These terms are governed by the law of GOVERNING LAW, and disputes go to its courts. If you are a consumer, you may also have the right to bring proceedings where you live, and nothing here removes that.

If any part of these terms turns out to be unenforceable, the rest of it still stands.
